The terms of this Standard Terms and Conditions of Online Sale Agreement (“Agreement”) govern the sale of Products by Trident Automation, Inc. (“Trident”) via Trident’s e-commerce website. By use of Trident’s e-commerce website, you and/or the party you represent (individually and collectively, “Customer”) agree to be bound by and accept these terms and conditions.
Trident strives to maintain an accurate listing of products available on Trident’s e-commerce website (individually and collectively, “Product”). The following general categories, broadly encompass the Product available: DCS Hardware. More specific details can be found on the listing page for each Product.
While Trident strives to provide accurate product and pricing information, unintentional pricing or typographical errors may occur. Trident reserves the right to correct any errors and to change or update pricing, availability and/or product descriptions at any time without notice (including after Customer submitted order and confirmation was received).
Payment of Product is due at the time of purchase with credit card. All sales are final.
Trident provides standard free shipping to the contiguous United States. Any shipping dates and times are approximate only.
Trident will provide overnight shipping to Customer, only if Customer requests overnight shipment of Product prior to 2 PM CST during normal business hours and agrees to pay an additional flat fee rate of $100.00 per Product, in addition to any Payment for Product.
Trident reserves the exclusive right to select their preferred shipping carrier. In each shipment, Trident agrees to provide to Customer a receipt showing the Product purchased.
Trident warrants Products to be free of defects and to perform in accordance with the specified design criteria for one (1) month from date of shipment, unless otherwise specified in the description for such Product. During the warranty term, Trident will, at Trident’s sole discretion, replace or refund any Product found to have defects in materials or workmanship.
The use of refurbished products and/or components may be used for the purpose of fulfilling Trident’s warranty obligation. This warranty is non-transferable.
Trident disclaims all warranties not expressly noted herein, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose
No warranty returns will be accepted, unless in accordance with the Return Policy.
TRIDENT SHALL NOT IN ANY EVENT BE LIABLE FOR ANY DAMAGES, WHETHER BASED ON CONTRACT, WARRANTY, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY CONSEQUENTIAL, PUNITIVE, INCIDENTAL OR SPECIAL DAMAGES, ARISING WITH RESPECT TO PRODUCT OR ITS FAILURE TO OPERATE, EVEN IF TRIDENT HAS BEEN ADVISED OF THE POSSIBILITY THEREOF.
Returned Product will not be accepted if received by Trident more than thirty (30) days after the date of shipment. All returned Product shall include a part number, a serial number, and a copy of the sale Invoice. IT IS THE POLICY OF TRIDENT THAT CUSTOMER PAYS ALL SHIPPING CHARGES ON ANY RETURNED AND/OR REPLACEMENT PRODUCT.
ALL RETURNS WILL BE REFUSED IF THE PRODUCT IS DAMAGED DURING TRANSPORT AS A RESULT OF BAD PACKAGING OR IS DAMAGED, SCRATCHED, OR IN POOR CONDITION OR THE PRODUCT SERIAL NUMBER DOES NOT MATCH THE SALE INVOICE.
Trident charges a 20% restocking fee on any items returned.
Trident is only authorized to collect sales tax for shipments to addresses in states where Trident meets the tax nexus definition of that State. For all other locations, Customer agrees to bear sole responsibility for paying any uncollected taxes or duties to their local authorities, unless a valid and correct tax exemption certificate is furnished to Trident and certified by Trident prior to delivery.
Trident and Customer agree to indemnify and hold harmless each other from and against any and all losses or expenses that may actually and reasonably arise from sales subject to this Agreement.
Any dispute or claim arising out of or relating in any way to Customer’s use of Product will be resolved by binding arbitration, rather than in court. The Federal Arbitration Act and federal arbitration laws apply to this Agreement. BY AGREEING TO ARBITRATION, CUSTOMER UNDERSTANDS AND AGREES THAT CUSTOMER IS WAIVING CUSTOMER’S RIGHT TO SUE OR GO TO COURT TO ASSERT OR DEFEND CUSTOMER’S RIGHTS UNDER THIS AGREEMENT.
These terms are governed and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of laws principles.
By use of this Site you acknowledge that you have read, and agree to be bound by these Terms and Conditions and to comply with all applicable laws and regulations. You represent you have the legal authority to accept these Terms and Conditions on behalf of yourself or any party you represent. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE THE SITE.

Personal information provided by Customer may be used only by Trident. Trident does not rent, sell, or otherwise distribute to others any information about Customers. Trident may provide basic information to third party agents who have been hired to deliver Customer’s order. While Trident uses all reasonable efforts to safeguard the confidentiality of Customer’s information, Trident will not be responsible for disclosure of any information due to errors in transmission or the unauthorized acts of third parties.
